Terms of Service

Agreement to Terms

By accessing or using CosentriQ websites, products, platforms, workspaces, MIA evaluation copilot, AI-assisted document generation, Evaluation Notebooks, scenario generation, agentic simulations, human validation workflows, Signal Gap analysis, DollarFifteen contributor network, Validate Workspace, enterprise offerings, or related services (collectively, the "Services"), you agree to be bound by these Terms of Service.

If you do not agree to these Terms, you may not use the Services.

Description of Services

CosentriQ provides human-side AI model evaluation workspaces, AI-assisted intake, evaluation artifact generation, scenario generation, agentic simulation, human validation workflows, Signal Gap analysis, model behavior recommendations, workspace reporting, and related services. Services may include:

  • ▸MIA-guided intake
  • ▸Source uploads and workspace source management
  • ▸Model Behavior Profiles / AI System Cards
  • ▸System Prompt & Guardrails Summaries
  • ▸Intended Use & Limitations documents
  • ▸Evaluation Rubrics
  • ▸Evaluation Notebooks
  • ▸Scenario generation
  • ▸Agentic simulation outputs
  • ▸DollarFifteen human validation workflows
  • ▸Contributor task routing
  • ▸Signal Gap analysis
  • ▸Human-side readiness reports
  • ▸Model behavior recommendations
  • ▸Dashboard, reporting, and export features
  • ▸Validate Workspace features
  • ▸Enterprise deployments, integrations, or custom workflows

Services may evolve over time.

Accounts and Workspaces

You may need to create an account or workspace to access certain Services. You are responsible for providing accurate account information, maintaining the confidentiality of your credentials, all activity occurring under your account or workspace, ensuring that authorized users comply with these Terms, and promptly notifying CosentriQ of unauthorized access or security concerns.

CosentriQ may suspend or restrict access if we believe account activity presents a security, legal, operational, or misuse risk.

Free Workspace and Validate Workspace

CosentriQ may offer free and paid workspace plans. The Free Workspace may include limited access to MIA-guided intake, starter evaluation documents, one Evaluation Notebook, initial risk diagnosis, sprint preview, or other limited features.

The Validate Workspace may include expanded access to source uploads, multiple Evaluation Notebooks, scenario generation, agentic simulations, human validation through DollarFifteen, contributor task routing, Signal Gap dashboards, evaluation history, model behavior recommendations, and human-side readiness reports.

Feature availability, limits, and pricing may change over time. CosentriQ may modify, suspend, or discontinue free or pilot features at any time. Where reasonably practicable, we will provide at least 30 days' advance notice of material changes to free workspace features via email or in-product notification.

Payment Terms

Pricing for paid Services is displayed at the point of purchase, subscription, proposal, order form, pilot enrollment, or executed agreement. Payments are processed securely through authorized third-party payment providers.

Unless otherwise stated: fees are listed in U.S. dollars; fees are non-refundable except as expressly provided; customers are responsible for applicable taxes, duties, and governmental charges; access to paid features may be suspended for non-payment. Pilot pricing may be limited, promotional, or subject to change.

Refund Policy

Refund eligibility depends on the specific Service purchased. Unless otherwise stated in a separate written agreement:

  • ▸Refunds may be available before substantial processing, generation, validation, contributor routing, or delivery has begun.
  • ▸No refunds are provided after generated artifacts, evaluation outputs, human validation results, Signal Gap reports, workspace deliverables, or custom analytical work have been delivered.
  • ▸Subscription or workspace fees are non-refundable once the relevant billing period begins.

Customer Materials

"Customer Materials" means any information, files, prompts, outputs, data, documents, text, images, feedback, research, analytics, eval exports, system instructions, guardrails, known failure cases, or other materials submitted, uploaded, pasted, or otherwise provided by you to the Services.

You retain ownership of your Customer Materials. You grant CosentriQ a limited license to host, process, analyze, transform, reproduce, display, and use Customer Materials as necessary to provide, secure, improve, and support the Services, including to generate workspace artifacts, Evaluation Notebooks, scenarios, simulations, contributor tasks, reports, Signal Gap analyses, and model behavior recommendations.

You represent and warrant that you have all rights, permissions, and authority necessary to submit Customer Materials to CosentriQ and to permit CosentriQ to process them under these Terms.

AI-Generated Outputs and Workspace Artifacts

The Services may generate AI-assisted outputs, including Model Behavior Profiles, Guardrails Summaries, Intended Use & Limitations documents, Evaluation Rubrics, Evaluation Notebooks, scenarios, risk hypotheses, recommendations, reports, and other workspace artifacts.

Generated outputs may be incomplete, inaccurate, or require human review. You are responsible for reviewing, validating, editing, and approving generated outputs before relying on them. CosentriQ does not guarantee that AI-generated outputs are accurate, complete, safe, compliant, or suitable for any specific deployment, business, legal, regulatory, or operational decision.

CosentriQ outputs, reports, scores, Signal Gap analyses, and readiness summaries are not substitutes for AI safety audits, independent red-teaming, regulatory compliance reviews, legal review, or formal risk assessments. Customers remain solely responsible for ensuring their AI products meet applicable legal, safety, and compliance requirements in their jurisdiction and industry.

Human Validation and Contributor Tasks

CosentriQ may use DollarFifteen contributors to perform structured human evaluation tasks. You authorize CosentriQ to use Customer Materials and derived evaluation materials to create contributor tasks, scenarios, validation workflows, Signal Gap analyses, reports, and related outputs.

Contributor tasks may include reviewing AI outputs, evaluating usefulness or trust, identifying confusion or risk, assessing clarity, describing likely actions, flagging missing context, or providing qualitative feedback. CosentriQ may take reasonable steps to minimize, redact, aggregate, or de-identify task materials before contributor review where appropriate.

You are responsible for ensuring that Customer Materials submitted for human validation are appropriate to share in the selected workspace, plan, or agreement.

Intellectual Property

CosentriQ and its licensors retain all rights, title, and interest in and to the Services, including software, interfaces, designs, workflows, templates, prompts, methodologies, frameworks, schemas, models, evaluation systems, scoring logic, visualizations, documentation, trademarks, and related intellectual property.

Customer retains ownership of Customer Materials. Subject to these Terms, CosentriQ grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services and generated workspace outputs for your internal business purposes. You may not copy, reverse engineer, resell, sublicense, reproduce, modify, distribute, or create derivative works from the Services or CosentriQ intellectual property except as expressly permitted in writing.

Feedback

If you provide feedback, suggestions, ideas, or recommendations regarding the Services, you grant CosentriQ a perpetual, irrevocable, worldwide, royalty-free license to use that feedback without restriction or compensation.

Confidentiality

CosentriQ will treat Customer Materials and customer-specific workspace information as confidential and will not intentionally disclose them except as necessary to provide the Services, to authorized service providers or infrastructure partners, to DollarFifteen contributors as part of approved human validation workflows, with your authorization, as required by law, or to protect rights, safety, property, or security.

You agree to treat non-public CosentriQ information, including platform logic, methodologies, templates, workflows, pricing, technical architecture, and product roadmap information, as confidential.

Customer Responsibilities

You are responsible for:

  • ▸Providing accurate and lawful information
  • ▸Ensuring you have rights to upload or submit materials
  • ▸Reviewing generated outputs before use
  • ▸Ensuring Customer Materials do not violate third-party rights
  • ▸Ensuring Customer Materials do not include prohibited or unauthorized sensitive data
  • ▸Maintaining account credential security
  • ▸Complying with applicable laws and regulations
  • ▸Making final decisions about AI product deployment, model behavior, user communications, product changes, governance, and compliance

Acceptable Use

You may not use the Services to:

  • ▸Violate any law or regulation
  • ▸Infringe intellectual property, privacy, publicity, or contractual rights
  • ▸Upload malware, harmful code, or security threats
  • ▸Submit unlawful, deceptive, abusive, harassing, or harmful content
  • ▸Attempt unauthorized access to systems or data
  • ▸Reverse engineer or misuse the Services
  • ▸Submit regulated, sensitive, or confidential third-party data without authorization
  • ▸Use the Services to make or automate decisions that produce legal or similarly significant effects without appropriate human oversight and independent review
  • ▸Misrepresent CosentriQ outputs as certifications, legal approvals, regulatory approvals, safety audits, or safety guarantees

No Professional Advice or Certification

CosentriQ Services are intended for human-side AI evaluation support, product evaluation, model behavior analysis, adoption risk analysis, and decision-support purposes only. CosentriQ does not provide legal, financial, accounting, investment, tax, medical, clinical, employment, regulatory, compliance, security, or professional advice.

CosentriQ outputs, reports, scores, recommendations, Signal Gap analyses, starter documents, and readiness summaries are not certifications, audits, legal determinations, regulatory approvals, safety guarantees, compliance approvals, AI safety audit reports, red-team assessments, or substitutes for independent professional review.

You remain solely responsible for all business, product, technical, legal, regulatory, deployment, and operational decisions made using or informed by the Services.

Customer Responsibility for AI Deployment

CosentriQ may help evaluate human-side model behavior risks, but CosentriQ does not control your AI systems, product deployment, prompts, guardrails, user communications, training data, model outputs, compliance posture, or operational decisions.

You are solely responsible for your AI product and its outputs, deployment decisions, user-facing disclosures, product claims, compliance with applicable laws and regulations, human oversight and escalation design, testing, monitoring, and risk management, and decisions made by your users, employees, customers, or stakeholders.

Beta, Pilot, and Experimental Features

Some Services may be offered as beta, pilot, preview, experimental, or early-access features. Such features may be incomplete, unstable, limited, changed, suspended, or discontinued at any time. CosentriQ does not guarantee availability, reliability, accuracy, completeness, or continued support for beta, pilot, or experimental features.

Service Availability and Modifications

CosentriQ may modify, suspend, improve, restrict, or discontinue portions of the Services at any time. For material changes to paid Services, CosentriQ will provide at least 30 days' advance notice via email or in-product notification where reasonably practicable. We do not guarantee uninterrupted or error-free service.

Data and Security

You acknowledge that the Services may involve the upload and processing of AI product information, prompts, outputs, eval data, user research, product analytics, operational records, contributor responses, and other workspace information. CosentriQ implements commercially reasonable security practices but cannot guarantee absolute security. Your use of the Services is also governed by the CosentriQ Privacy Policy.

Third-Party Services

The Services may integrate with or rely on third-party providers, including hosting providers, AI model providers, analytics tools, authentication providers, payment processors, and other infrastructure partners. CosentriQ is not responsible for third-party services, websites, policies, outages, or practices. Your use of third-party services may be subject to their own terms and policies.

Termination

We reserve the right to suspend or terminate access to the Services if these Terms are violated, payment obligations are not met, fraudulent, abusive, or unlawful activity is suspected, continued access presents operational, legal, security, or reputational risk, or required by law or third-party provider restriction.

You may discontinue use of the Services at any time. Termination does not affect rights or obligations that accrued before termination.

Limitation of Liability

To the maximum extent permitted by law:

  • ▸CosentriQ is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages.
  • ▸CosentriQ does not guarantee specific business outcomes, adoption rates, revenue increases, product success, user trust, funding success, launch readiness, compliance outcomes, or operational performance improvements.
  • ▸CosentriQ is not responsible for decisions made based on generated outputs, reports, recommendations, contributor responses, or Signal Gap analyses.
  • ▸Total liability arising from the Services shall not exceed the amount paid by the customer for the applicable Service during the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless CosentriQ and its officers, directors, employees, contractors, contributors, agents, affiliates, and service providers from any claims, damages, liabilities, losses, costs, and expenses arising from your use of the Services, Customer Materials you submit, your AI product or model outputs, your deployment decisions, your violation of these Terms, your violation of applicable laws or third-party rights, and unauthorized or improper submission of sensitive, confidential, regulated, or third-party information.

Dispute Resolution

Any dispute arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless otherwise required by applicable law or superseded by a separately executed written agreement between the parties.

You and CosentriQ agree to resolve disputes on an individual basis and not as part of a class, consolidated, or representative action to the maximum extent permitted by law.

Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles, unless otherwise required by applicable law or superseded by a separately executed written agreement between the parties.

Changes to Terms

We may update these Terms periodically. Updated versions will be posted on our website with the revised effective date. For material changes, we will provide notice via email or in-product notification at least 30 days before the changes take effect where reasonably practicable. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
